By accessing, browsing, and using the Jayda website at jayda.ai, its AI-powered search functionality, and all affiliated subscription services (collectively, the “Platform”), you, the user (“you” or “User”), acknowledge and agree to be bound by these Terms of Service (“Terms”) as a legally binding agreement with Jayda Inc. (“Jayda”, “Company”, “we”, “us”, or “our”). These Terms govern your access to and use of the Platform and any associated services provided by us.
Jayda uses artificial intelligence to help you find, understand, and act on vehicle repair information. For a detailed description of how AI is used, including data sourcing and protection commitments, see Section 7.
The Platform is available to you conditional upon your acceptance of the Terms set forth herein. By using the Platform, you represent that you possess the legal authority to enter into these Terms and to use the Platform in accordance with all terms and conditions herein.
We reserve the right to modify or update these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Your continued use of the Platform after the posting of any changes constitutes your binding acceptance of such changes.
1. ELIGIBILITY AND AGE RESTRICTION
The Platform is not targeted towards, nor intended for use by, anyone under the age of 18. By using the Platform, you warrant and represent that you are at least 18 years of age and that you have the legal capacity to engage in a binding agreement. Should we be made aware of any user information pertaining to individuals under the age of 18, efforts will be made to promptly delete such data. Concerns about the information of individuals under the age of 18 should be directed to [email protected].
2. INTENDED USE AND USER RESPONSIBILITY
2.1 Professional Use
The information provided through the Platform is intended for use by professional automotive repair technicians, experienced DIY users, vehicle owners, and repair businesses.
2.2 User Obligations
By using the Platform, you acknowledge and agree that:
Professional Judgment Required: The information provided is for reference purposes only. You must use your professional judgment and expertise when applying any information obtained from the Platform.
Proper Equipment and Tools: Repair or service procedures require specialized tools, equipment, and safety measures. Attempting repairs without proper equipment may result in injury or property damage.
Vehicle-Specific Verification: Always verify information against official manufacturer service manuals and technical specifications for your specific vehicle make, model, and year.
Safety First: Follow all applicable safety procedures, wear appropriate personal protective equipment, and ensure proper working conditions before attempting any repair work.
Compliance with Laws: You are responsible for complying with all applicable local, state, and federal laws and regulations regarding vehicle repair, including environmental and emissions regulations.
AI Capabilities and Limitations: The Platform uses AI to search OEM databases, summarize results, and suggest next diagnostic or repair steps. All OEM-sourced content is clearly attributed to its manufacturer origin. See Section 7 for full details on AI usage and data protection.
2.3 Account Registration and Security
To access the Platform, you must create an account and provide accurate, complete, and current registration information. You are responsible for:
Maintaining the confidentiality of your account credentials, including your password;
All activities that occur under your account, whether or not authorized by you;
Notifying us immediately at [email protected] if you become aware of any unauthorized access to or use of your account.
You may not share your login credentials with others. BUSINESS and ENTERPRISE accounts with multiple team member seats must assign individual credentials to each authorized user. Jayda implements industry-standard security measures to protect your account. Jayda is not liable for losses arising from your failure to protect your credentials; however, this limitation does not apply to losses caused by a security breach on Jayda’s systems.
3. OEM COPYRIGHT NOTICES AND DATA COMPLIANCE

4. INTELLECTUAL PROPERTY RIGHTS AND USAGE LICENSE
The Company hereby grants you a revocable, non-exclusive, non-transferable license to access and use the Platform solely for your personal or business repair and maintenance purposes, strictly in accordance with these Terms. You acknowledge that all intellectual property rights in the Platform and its content are owned by or licensed to the Company and are protected by applicable intellectual property laws.
4.1 Permitted Uses
You may use the Platform to:
Access repair and maintenance information for your professional or personal use
Ask questions and receive guidance on vehicle issues
Reference technical specifications and procedures for repair work
4.2 Restrictions
Except as expressly set forth herein, you may not:
Copy, reproduce, distribute, or create derivative works from Platform content
Sublicense, sell, rent, or transfer your access to the Platform
Remove or modify any copyright notices or proprietary markings
Reverse engineer or attempt to extract source code from the Platform
Download, export, or systematically collect OEM data beyond the output provided by the Platform
Circumvent or attempt to circumvent query limits, rate limits, or other usage restrictions imposed by your subscription tier
Additional prohibited activities are described in Section 5.
5. PROHIBITED CONDUCT
To protect the Platform, its users, and our data licensing relationships, the following activities are prohibited. You may not:
(a) Use the Platform for any commercial purpose beyond your legitimate repair business operations;
(b) Redistribute, resell, or sublicense information obtained from the Platform to third parties;
(c) Access or search the Platform through automated means (robots, spiders, scrapers) without our express written permission;
(d) Access, tamper with, or use non-public areas of the Platform or our computer systems;
(e) Disable, overburden, damage, or impair the Platform, our servers, or our networks, or interfere with any other party’s use of the Platform;
(f) Introduce any viruses, malware, or other harmful code;
(g) Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks;
(h) Misrepresent your identity or affiliation with any person or entity;
(i) Use the Platform to provide services competitive to Jayda;
(j) Publicly post or share OEM-sourced content obtained from the Platform, including but not limited to repair procedures, wiring diagrams, technical service bulletins, and diagnostic information, on any website, forum, social media platform, or other public medium;
(k) Engage in any other activity that, in Jayda’s reasonable judgment, may harm the Platform, its users, our data licensing relationships, or our business operations.
6. SUBSCRIPTION, BILLING, AND CANCELLATION
6.1 Subscription Plans
Jayda offers tiered subscription plans, including LITE, DIY, BUSINESS, and ENTERPRISE. Current pricing, features, and usage limits for each plan are published at jayda.ai/pricing and are incorporated herein by reference. We reserve the right to introduce, modify, or discontinue subscription plans at any time.
6.2 Enterprise Subscriptions
ENTERPRISE subscriptions are governed by separate written agreements. In the event of any conflict between these Terms and an ENTERPRISE agreement, the ENTERPRISE agreement shall control.
6.3 Billing Cycles
Subscriptions are available on a monthly or six-month billing cycle. Six-month plans are billed upfront at a discounted rate. For auto-renewal terms, see Section 6.4.
6.4 Auto-Renewal and Payment
Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method on file for all applicable fees. If your payment method fails, we will notify you via email. You will have 7 days to update your payment information. If the issue is not resolved within 7 days, we may suspend access to the Platform until payment is successfully processed.
6.5 Usage Limits
Each subscription tier includes defined usage limits, including but not limited to monthly AI query limits, number of managed vehicles, and team member seats. These limits are specified on the pricing page at jayda.ai/pricing. Exceeding your plan’s query limit will result in restricted access until your next billing cycle begins or until you upgrade your plan. Unused queries do not roll over to the next billing cycle.
6.6 Plan Changes
You may upgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your current billing cycle. You may downgrade your plan at the end of your current billing cycle. Downgrades take effect at the start of the next billing cycle.
6.7 Cancellation
You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing cycle. You retain access to the Platform until that date. Refund eligibility is described in Section 6.8.
6.8 Refunds
Refund eligibility depends on your subscription tier:
LITE and DIY Plans: You are eligible for a full refund if you have used no more than 3 AI queries since the start of the current billing cycle. Refund requests exceeding this usage threshold are generally not eligible; however, exceptions may be considered at Jayda’s discretion for documented service issues.
BUSINESS Plans: Refund requests may be submitted within 14 days of a charge. Approved refunds will be prorated minus the value of any usage during the period.
ENTERPRISE Plans: Refund terms are governed by your separate written agreement.
All refund requests must be submitted to [email protected]. Approved refunds are processed to the original payment method within 3 business days of confirmation by our support team. Please allow an additional 5–10 business days for the refund to appear on your statement, depending on your financial institution. For full details, see our Refund Policy at jayda.ai/refund-policy.
6.9 Price Changes
We may adjust subscription pricing with at least 30 days’ notice to you via email. Price changes take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.
7. AI USAGE, DATA SOURCING, AND DATA PROTECTION
7.1 How AI Is Used
Jayda uses artificial intelligence to: (a) interpret your natural-language questions and match them to official OEM repair procedures, specifications, and technical data; and (b) summarize OEM-sourced findings and suggest next diagnostic or repair steps. OEM-sourced content is clearly attributed to its manufacturer origin.
7.2 Data Source
OEM repair information on the Platform is sourced from MOTOR Information Systems, a Hearst company and trusted automotive data provider since 1903. Jayda is a licensed data customer of MOTOR Information Systems. OEM content is presented as published by the original equipment manufacturer.
7.3 Data Protection Commitments
OEM data accessed through the Platform is not used to train any AI or machine learning model. User queries and personal data are not used to train AI models. Our API providers operate under zero-training agreements that contractually prohibit the use of user data or OEM content in model training. All user access is individually authenticated with auditable access logs. OEM content is delivered in read-only format. No raw data export is available.
7.4 Source Attribution
All information displayed on the Platform includes source attribution where available, including the source document name, manufacturer, model year, and last update date.
7.5 Honest Boundaries
If Jayda cannot find a specific OEM procedure or specification in its database, it will clearly indicate that the information was not found. Jayda prioritizes accuracy over completeness – when in doubt, it will direct you to consult official manufacturer documentation.
8. DISCLAIMER OF WARRANTIES
SAFETY NOTICE: Your safety matters to us. Vehicle repair involves inherent risks including potential for serious injury, death, and property damage. The Platform provides informational content to support – not replace – your professional judgment and proper safety practices.
8.1 “AS IS” Provision
THE PLATFORM AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
8.2 Specific Disclaimers
WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
OEM Data Accuracy: OEM-sourced content on the Platform is reproduced directly from official manufacturer data provided by MOTOR Information Systems. While this data is authoritative and unmodified, we do not warrant that it covers every vehicle configuration, trim level, or regional variant, or that the AI search will always correctly interpret your query and return the most relevant result. You should confirm that the information matches your specific vehicle make, model, year, and configuration.
Fitness for Purpose: We do not warrant that information is suitable for your particular repair needs or circumstances.
Uninterrupted Service: We do not warrant that the Platform will be uninterrupted, secure, or error-free.
Professional Advice: Information provided does not constitute professional advice. You should consult with qualified technicians and refer to official manufacturer documentation.
Results: We do not guarantee any particular result from following information provided through the Platform.
8.3 User Responsibility
YOU ACKNOWLEDGE AND AGREE THAT:
You are solely responsible for determining the suitability and accuracy of any information for your specific situation;
You will verify all information against official manufacturer service manuals;
You possess or will obtain the necessary skills, tools, and safety equipment;
You assume all risks associated with repair and maintenance work.
9. LIMITATION OF LIABILITY
9.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAYDA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO:
Direct, indirect, incidental, special, consequential, or punitive damages;
Loss of profits, revenue, data, or use;
Personal injury or property damage;
Cost of procurement of substitute services;
Business interruption;
ARISING OUT OF OR IN ANY WAY CONNECTED WITH, INCLUDING BUT NOT LIMITED TO:
Your use of or inability to use the Platform;
Any information, content, or services obtained through the Platform;
Any repair or maintenance work performed based on Platform information;
Any errors, omissions, or inaccuracies in Platform content;
Any failure of the AI search functionality to correctly interpret a query or return relevant results;
WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTHING IN THIS SECTION EXCLUDES OR LIMITS JAYDA’S LIABILITY FOR (A) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) DEATH OR PERSONAL INJURY CAUSED BY JAYDA’S NEGLIGENCE TO THE EXTENT PROHIBITED BY APPLICABLE LAW; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
9.2 Maximum Liability Cap
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO JAYDA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER. FOR ENTERPRISE SUBSCRIBERS GOVERNED BY A SEPARATE WRITTEN AGREEMENT, TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE SUBSCRIBER IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.3 Risk Allocation
You acknowledge that the fees charged by Jayda reflect this allocation of risk and that Jayda would not provide the Platform at the current pricing without these limitations.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Jayda, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, costs, and claims, including reasonable attorneys’ fees, arising out of or relating to:
(a) Your use or misuse of the Platform;
(b) Your violation of these Terms;
(c) Any repair or maintenance work you perform based on information from the Platform;
(d) Your violation of any law or regulation;
(e) Your violation of any rights of a third party;
(f) Any content or information you provide through the Platform;
(g) Any injury, death, or property damage resulting from your repair activities;
(h) Your redistribution, public posting, or unauthorized sharing of OEM-sourced content obtained from the Platform.
This indemnification obligation does not apply to claims arising directly from Jayda’s gross negligence, willful misconduct, or provision of materially incorrect information that Jayda knew or should have known was incorrect.
You agree to cooperate fully in the defense of any claim. Jayda reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
11. PRIVACY AND DATA PROTECTION
11.1 Privacy Policy
Your use of the Platform is governed by our Privacy Policy available at jayda.ai/privacy-policy. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
11.2 Data We Collect
Jayda collects and processes data in connection with the Platform, including but not limited to account information, vehicle identification data, search queries, and usage analytics, as described in our Privacy Policy.
11.3 How We Use Your Data
Your search queries are processed to return results and improve search accuracy. They are not sold to third parties and are not used for advertising purposes. We may use usage data and device information for advertising as described in our Privacy Policy. For details on AI-related data protection commitments, see Section 7.3.
11.4 Electronic Communications
By creating an account, you consent to receive electronic communications from us, including billing notifications, service updates, security alerts, and changes to these Terms. These communications are part of your relationship with us and you may not opt out of service-related communications while maintaining an active account.
11.5 Your Rights
Jayda complies with applicable data protection laws. Users located in jurisdictions with specific data protection rights (such as the California Consumer Privacy Act or the General Data Protection Regulation) may exercise those rights by contacting [email protected].
12. USER CONTENT AND COMMUNICATIONS
12.1 Content You Provide
If you provide any questions, feedback, or other content to the Platform, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Platform. This license does not apply to your personal data or vehicle identification information, which is governed by our Privacy Policy.
12.2 Accuracy of Information
You represent and warrant that any information you provide about vehicles or repair issues is accurate and complete to the best of your knowledge.
13. MODIFICATIONS TO SERVICE
We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform. In the event of material changes to paid features of the Platform, we will provide at least 30 days’ notice to active subscribers.
14. THIRD-PARTY LINKS AND RESOURCES
The Platform may contain links to third-party websites, services, or resources. You acknowledge and agree that we are not responsible for:
The availability or accuracy of such external sites or resources;
The content, products, or services available from such sites or resources;
Any damages or losses caused by your use of such sites or resources.
Your use of third-party websites is at your own risk and subject to their terms and conditions.
15. DMCA AND COPYRIGHT COMPLIANCE
15.1 Respect for Intellectual Property
Jayda respects the intellectual property rights of OEMs, MOTOR Information Systems, and third parties. We expect our users to do the same.
15.2 Reporting Copyright Infringement
Jayda actively monitors for unauthorized redistribution of OEM-sourced content. If you believe that content available through the Platform infringes your copyright, or if you become aware of a user distributing OEM-sourced content in violation of these Terms, please submit a written notice to our designated copyright agent at [email protected]. Your notice must include:
(a) Identification of the copyrighted work claimed to have been infringed;
(b) Identification of the material that is claimed to be infringing, with sufficient detail to locate it;
(c) Your contact information (name, address, telephone number, email address);
(d) A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
(e) A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
15.3 User Violations
Jayda is committed to protecting OEM intellectual property, which enables us to provide you with official data. If we identify unauthorized sharing of OEM-sourced content, we will contact you to explain the issue and request removal. Repeated violations after notice will result in account suspension or termination. Jayda may disclose account identifiers and details of the suspected violation to OEM licensors or MOTOR Information Systems as required under data licensing agreements. Jayda will not share your search history, vehicle data, or personal information beyond what is necessary for the investigation.
15.4 Counter-Notification
If you believe your content was removed in error, you may submit a counter-notification to [email protected] containing: (a) identification of the removed material and its former location; (b) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake; (c) your name, address, and telephone number; and (d) a statement consenting to jurisdiction of the federal courts in Wilmington, Delaware.
16. TERMINATION
16.1 Termination by You
You may stop using the Platform at any time. To cancel a paid subscription, see Section 6.7.
16.2 Termination by Us
We may suspend or terminate your access to the Platform at any time, with or without cause, effective immediately. For non-critical violations of these Terms, we will provide written notice and a 15-day cure period before terminating your account. Critical violations – including but not limited to redistribution of OEM content, fraudulent activity, automated scraping, or any activity that threatens the security or integrity of the Platform – may result in immediate termination without notice or cure period.
Jayda will notify you of the specific reason for any termination.
16.3 Effect of Termination
Upon termination:
Your right to use the Platform immediately ceases;
We will retain your account data in accordance with our Privacy Policy. Account data is deleted only: (a) upon your request; (b) as required by law; or (c) when termination results from critical violations;
Any outstanding subscription fees through the end of the current billing cycle remain due;
For termination initiated by Jayda due to critical violations listed in Section 16.2, no refund will be issued for the current billing cycle. For all other terminations, you will receive a pro-rata refund of prepaid amounts for the unused portion of the current billing cycle;
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 4, 5, 7, 8, 9, 10, 11, 15, 17, 18, and 19.
16.4 Data Export
You may request an export of your non-OEM account data (vehicle list, account information) within 60 days of termination by contacting [email protected]. We will send you a reminder email 14 days before the export deadline. After 60 days, we may permanently delete all account data.
17. DISPUTE RESOLUTION
17.1 Informal Resolution
Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days of receipt of your notice.
17.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Wilmington, Delaware. The arbitrator shall have no authority to award punitive or exemplary damages beyond what these Terms permit.
17.3 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17.4 Opt-Out of Arbitration
You may opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to [email protected].
18. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
19. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, failures of third-party data providers (including MOTOR Information Systems), or cyberattacks. During any such event, affected obligations are suspended for the duration of the event.
20. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to reflect the parties’ intention to the maximum extent permitted by law.
21. ASSIGNMENT
We may assign our rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to honor these Terms. We will notify you of any such assignment within 30 days. You may not assign your rights or obligations under these Terms without our prior written consent.
22. NO WAIVER
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
23. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Jayda regarding the Platform and supersede all prior agreements and understandings.

25. ACKNOWLEDGMENT
BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM.
